Chapter I General Provisions
Article 1 Purpose
The Maple Women’s Psychological Counseling Center, Beijing (Maple Center for short), aims at providing psychological counseling and social services to women, children and families in both urban and rural areas. It carries out gender and people-centered research and policy advocating for the aim of promoting the construction of harmonious society.
Article 2 Name of the Organization
The Maple Center adopted the currant name in 1996, replacing the original Women’s Research Institute Under China Academy of Management Science. Its address: Floor 2, Building 10, Jiantaixinqiao Office Center, No.15 Xinxing East Lane, Xizhimenwai Street, Xicheng District, Beijing 100044
Article 3 Nature of the Organization
The Maple Center is a non-profit civil society, registered at the Xuanwu Branch of the Beijing Administration for Industry and Commerce. It has status of a legal person and its assets all belong to the organization. It adopts the principle of a non-profit, not distributing dividend. Its registered shareholders do not have property right and the right of gains.
Article 4 Prospect
Maple Center pays attention to the mental and physical health of women and children, promotes the overall development of them, pushes forward psychological and social services in community, contributes to the promotion of gender equality, accelerates the construction of happy family of both urban and rural families, and of a harmonious society as a whole.
Article 5 Work Areas
1. Services: Provide good, professional and diversified mental and social services to women, children and their families in both urban and rural communities; Bring social-work practices to city and countryside and offer services to the aged, so as to meet the need of society.
2. Research and advocating: Carry out research on gender issue, put forward proposals of legal suggestion and policy advocating, aiming at realizing equality between men and women and safeguarding the rights and interests of women and children.
3. Initiative and promotion: establish new models for social work tailored for the needs of rural and urban people and spread them nationwide.
Article 6 Concept of Values
Influence life with life;
Love others, respect life and contribute to society;
Help others, help yourself and advance together.
Article 7 Financial Support
Maple Center’s funds come from various channels including grants, social donations, counseling fees, training services, and the government.
Article 8 Top strategy maker: the council
The council has the right to examine and verify the Maple Center’s strategic plan and managerial system; it sees to the financial situation and the implementation of rules and regulations; it has a responsibility to raise fund for the organization.
Article 9: Supervision Committee
A supervision committee is to be set up to watch the council’s performance.
Chapter II Maple Center Council
Article 10 Establishment and Composition of Maple Center Council
The Maple Council is composed of celebrities who are concerned about the cause of public interest that they care about women and children’s well being. The council comes into being after full discussion by members. Its maximum number is 15 and every session lasts 3 years. The Chairman is voted by members of the council. According to the real situation of the Maple Center, its founder is respected as council member for life and honorary Chairman.
Article 11 Liabilities of the Council
1. Fundraising
2. Examine the orientation of long-term development of the organization and the strategic plan;
3. Examine and verify financial budget and final accounts;
4. Examine and settle basic management system;
5. Examine operating guidelines and principles
6. Monitor the fund expenditure;
7. Evaluate and check up the performance of executive director and core management team;
8. Nominee and approve additional agent for service of process from council members;
9. Approve the supervision committee members;
10. Appoint/dismiss the Maple Center’s executive director and decide his/her salary and perk;
11. Revise Maple Center’s Constitution with approval of two third council directors;
12. Make decisions on other major events relating to Maple Center’s development.
Article 12 Maple Council sets up strict discussing and decision-making procedures and invites experts to evaluate and examine when making big decisions.
Article 13 Qualifications of the Council members
1. Have a mind for public interest and dedication and recognize the concept value of the Maple Center;
2. Be politically sensitive, forward-looking and foresighted and sagacious. She/he is capable of offering constructive suggestions for the development and prospect of the Maple Center;
3. Be equal to and cooperative with others and have a democratic work style; apply effective supervision and guidance to the Maple Center;
4. Have high professional knowledge, social influence, and be capable to contribute to the Maple Center in the circle;
5. Be capable of fundraising;
6. Have relatively enough time and energy to attend council meetings and take part in council work.
Article 14 Duty of the Council members
1. Take part in discussions and decision-making in the council; examine, verify and evaluate Maple Constitution, plan and projects; assist in working out and fulfilling the long-term strategic plan, including the construction of organizational capacity and resource development; keep in line with mission of the organization.
2. Make good use of individual social influence and be a spokesperson of the Maple Center, to publicize it and help it to broaden exchanges with friends and organizations from both at home and abroad.
3. Nominee and examine executive director of the Maple Center, evaluate and support her/his work efficiency, supervise the operation of the organization and examine Maple Center’s work regulations and professional criterion.
4. Participate in Maple’s operation or offer guidance with their resources, experience and specialty to push forward the development of the Maple Center.
5. Assist the organization to formulate strategies of fundraising, and at the same time, play an active role in raising fund.
6. Examine Maple’s annual budget and financial report, to ensure that the financial administration is in conformity with regulations and transparency as well.
7. Attend council meeting in time and play an active role in decision-making in the meetings.
8. Support resolutions of the council.
9. Have a mind of self-discipline, never make use of the organization for pursuing individual interest and never develop any conflict of interest with it.
10. Every director exercises the right to vote personally.
Article 14 Responsibility of the Council’s Chairman
1. To take major responsibilities for fundraising;
2. To instruct council work and coordinate its work procedures;
3. To be fully informed of the situation and run the council efficiently to ensure effective governance of Maple center;
4. To preside over council work and council meeting;
5. To support and instruct the work of the organization’s executive director, following the fixed strategic principle and arrangement;
6. To play a role in the recommendation and instruction of new members of the council.
Article 16
Special Committees of the Council can instruct Maple’s operations. The Council members direct special committee with their own strength and background.
Article 17 Reelection, Replacement and Additional Member Election of the Council
1. To keep a consistent and smooth work, less than one third of the council members will be replaced by new members at the end of each term, to refresh the council. Apart from member for life, the reelection is to be carried out based on individual application and performance evaluation.
2. If a council member cannot continue his/her duty during the term, because of some reasons, he/she has to submit an application to explain the reason and recommend a deputy member (other members may also recommend new council members in this case). When deputy member is approved by council meeting, his/her office term started immediately till the end of the term. If he/she is competent and makes an outstanding achievement, he/she may continue with the position for the next term.
3. When additional members are needed with the development of the Maple Center, the council chairman and other members may nominee candidates for the council to decide.
Chapter III Routine of the Council
Article 18 The council carries out its work under the leadership of the chairman.
Article 19 When the president is unable to fulfill the responsibilities because of some reasons, the council recommend a deputy chairman, or reelects a new one, if necessary.
Article 20 The council, chaired by the president, convenes two meetings annually.
Before the convention, the council informs all members in writing the arrangement of the meeting and all related information are delivered. Temporary meeting is to be held if the president thinks necessary, or agreed by one third of the members’ request.
Article 21 The principle of democratic centralism and the minority is subordinate to the majority.
The council meeting is only valid with an attendance of more than half of the council members. A resolution made in council meeting is considered effective with attendance of two third of its members.
Article 22 All council members have to abide by resolutions made by the council strictly and fulfill their responsibilities and obligations.
The council member is deemed to forgo his/her legitimate status if he/she fails to attend two council meetings in a row. He/she will become Honorary Council members of consultant instead.
Article 23 Discussions and Vote
The council should keep minutes of each meeting, the solution made should be recorded in the summary, and all attendants have to make a signature. The secretary of the council keeps the original minutes, summary and resolutions. The council adopts the system of one member one vote when making solutions.
Chapter IV Supervision Committee
Article 24 Supervision Committee watch the Council’s operation. It is composed of 1-3 members who are either Maple’s staff or other individuals and approved by the council. The council members should not be on supervision committee.
Article 25 Supervision Committee are entitled to offer opinions and suggestions on the Council and Maple’s operation. They can also have a say on individuals and behaviors against the constitution and demand the council to investigate accordingly.
Article 26 Supervision Committee normally don’t involve and interfere with the daily operations of the council or Maple. They support the development in working areas and scopes.
Article 27 The council members and Maple staff are suggested to communicate regularly with supervision committee on issues and difficulties related to work.
Chapter V Executive Director(or Director)
Article 28 The council recruits /dismisses executive director. He/she will nominee or recruit deputy executive director and reports to the council.
Article 29 A term of executive director lasts one year; she/he can be re-recruited and serve another term accordingly.
Article 30 Duty of Executive Director:
1. Carry out council solutions thoroughly, make regular report to the council and fulfill the tasks under the supervision and guidance of the council.
2. Put forward development strategies abiding by Maple Center’s mission and prospect, explore and broaden Maple’s service areas and contents, arrange and carry out the work plan creatively, and thus accelerate the development of the organization.
3. Improve the management systems of the Maple Center, advocate the Maple culture and team spirit to build a creative, effective and cohesive team.
4. The Maple Center is a civil society organization with volunteers as its main body. So, she bears the work of enlarging the team of volunteers and expanding service scope. In addition, she advocates the voluntary spirit and help volunteers to develop continuously while helping others.
5. Extend exchanges with friends and organizations both at home and from abroad, display fully the effectiveness of Maple brand and increase the influence and popularity of the organization, so that the Maple Center may serve women from all walks of life better.
6. To raise fund for the organization, support social enterprise experiment and build a mechanism of self sustaining and self sufficient.
7. Entitled to recruit or dismiss deputy executive director and reports to the council.
8. Recruit or dismiss senior managing team and staff.
9. Attend council meetings to understand requirements of the council without voting rights.
10. Observe discipline and abide by the law, carry out work based on regulations, and fulfill his/her responsibilities and obligations honestly and diligently.
Article 31 Qualification of Executive Director
1. Cherishes the concept of serving public good and identifies with Maple Center’s perspective and values.
2. Be on intimate terms with others, good at promoting friendly with organizations from both at home and abroad, capable of finding more useful information and resources for Maple Center’s development.
3. Be of initiative and pioneering spirit, brings forward constantly creative new projects and activities, and leads the Maple Center with forward-looking mind and advancing with the times.
4. Be competent for raising funds and for broadening channels for fundraising.
Chapter V Volunteers
Article 32 Being a civil society organization with volunteers as its main body, the Maple Center welcomes individuals at/above 25 years old, with educational background at/above college level, both men and women with a heart of serving the people to apply to be volunteers.
Article 33 Rights of Volunteers
1. participating professional trainings and studies at the Maple Center;
2. practice chances by working with Maple projects;
3. gaining professional instruction and mental tutoring given by supervisors and coaches of the Maple Center;
4. commenting on the work of Maple Center and of volunteers administration, giving suggestions and supervising the operation of the organization;
5. freedom to apply to and quit voluntary activities;
6. being commended by the Maple Center at the fifth and tenth year they work in succession as volunteers.
Article 29 Duty of Volunteers
1. Keep in line with this Constitution and volunteers’ regulations;
2. Take people-centered concept and develop the spirit of voluntary services. Love others, respect life and contribute to society. Influence life with life. Help others, help yourself and advance together;
3. Offering high quality services to society, abiding by the contract;
4. Unite and help each other, uphold the image of the organization and make efforts to the development of the Maple Center.
Article 30 Management of Volunteers
1. Procedures for Recruiting Volunteers: application—interview and test— training— practice— sign an agreement —offer services
2. The Maple Center signs service agreement with volunteers annually to regulate rights and responsibilities of both sides. It administrates volunteers based on the agreement;
3. The Maple Center works out volunteers’ regulations, such as, rules of secret keeping, on duty, and of avoiding interests and benefits from work. Volunteers who leave for six months or more have to take training again before going back to the post;
4. Establish evaluation and self evaluation system. Evaluation from beneficiaries is combined with that of supervisors, in order to improve the quality of service;
5. Advocate voluntary spirit and apply management mainly by inspiration. Extol volunteers who conduct meritorious deeds and award those who work for five and 10 successive years. Show passionate care to volunteers by sending them birthday cards and souvenirs on other occasions;
6. Give oral remind, ask to stop services or even persuade to leave accordingly for volunteers who violate disciplines;
7. Set up a supervisors’ committee, organize a tutors’ team so as to give professional instructions, avoid mental exhaustion and thus promote a sound development of volunteers;
8. Volunteers who wish to give up should go through procedures before leaving.
Chapter VII Honorary Council members
Article 36: Honorary Council members of Maple are philanthropic celebrities and known entrepreneur who cares about the public interest. The council approves honorary council members after discussion annually.
Article 37: Qualifications of Honorary Council members
1. Individuals or enterprises individuals are from care about public interest;
2. Fulfilling social responsibilities;
3. Dedication;
4. Good social image and influence;
5. A financial support to Maple of 10,000 RMB or above.
Article 38: Conditions of membership withdrawal
1. Violation of national laws or regulations;
2. Bad social influence undermining Maple’s image;
3. Abusing Maple’s name or image;
Chapter VIII Supplementary Articles
Article 39 The right to revise and interpret the Constitution goes to The Council.
Article 40 Each session of council is entitled to examine and discuss the constitution and revise it.
Article 41 The Council discusses issues that failed to be mentioned here in this document.
Article 42 after examination and approval by the Council, the Constitution became a programmatic and legal document of the Maple Center. The Maple Center respects the constitution.
Article 43 The Constitution takes effect after approval of the Maple Council.
